ShipGenius Terms and Conditions

These terms and conditions outline the rules and regulations for the use of ShipGenius LLC's services, accessible at lite.shipgeni.us.

By accessing this website and using our services, you agree to be bound by these terms and conditions. If you disagree with any part of the terms, you must not use our service.

Definitions

User - an end person/business who created an Account in ShipGenius with the intention of generating shipping labels.

Account – an agreement between the User and ShipGenius, the Account holds all information regarding payments, transactions, generated labels, personal information.

Service(s) – the platform features provided by ShipGenius, including but not limited to: rate comparison, label generation, and label delivery to the User's Account. ShipGenius's services do not include physical transportation, carrier pickup, or delivery of any parcel.

Carrier – a connected third-party service providing shipping services via ground and air transport.

Agreement

This document serves as an agreement between you and ShipGenius LLC, a Utah based company. This agreement governs the use of any ShipGenius product in any medium.

By creating an Account or completing a purchase, you affirmatively acknowledge and accept these Terms. ShipGenius records the date, time, IP address, and account identifier associated with your acceptance. This acceptance record constitutes a binding clickwrap agreement enforceable under applicable law.

You are only eligible to use our services if you are:

  • (A) A legal United States resident

  • (B) Are at least 18 years of age

  • (C) Will only purchase labels if all products and items being sent are not federally illegal substances

  • (D) Will comply with all applicable United State import, export and re-export laws. Will also comply with all substance laws, hazardous materials laws, and private Carrier rules.

  • (E) Are legally allowed to enter a binding contract and accepted this agreement.

  • (F) Hazmat (Hazardous Materials) rules and regulations will be linked anywhere a rate or ship option exists. It is your duty to know the limitations and restrictions of the items you are sending. ShipGenius is not liable for any incorrect information you have entered in regards to Hazmat materials.

  • (G) in the event of a package being returned to due to incorrect information, you are responsible for the costs associated with that return. ShipGenius is not responsible for your interactions with the Carrier of the returned parcel.

Services and Description

ShipGenius LLC provides a platform for generating shipping labels from various carrier services. We facilitate shipping via UPS, USPS, DHL, Passport Global, DHL Express, Uniuni, and FedEx. These partners are not fixed and can be added or removed at any time. Individuals may pay using credit cards, bank accounts, while businesses may pay through an invoice sent to the main account holder for API requested packages and a credit card or bank account for web portal purchases. We provide third party services to rate and compare shipping services, purchase labels, view history, and manage your Account.

ShipGenius is an Intermediary Third-Party SaaS (software as a service) Provider

ShipGenius only serves as an intermediary between the customer and carrier services like USPS (United States Postal Service), UPS (United Parcel Service), DHL, DHL Express, Passport Global, Uniuni and FedEx. We provide a platform to allow you to compare and purchase their services. We do not provide any shipping services, freight, or any transportation services.

ShipGenius displays service options from the carriers with information provided by the carriers. We do not sponsor any service and do not recommend specific services. It is up to the Account holder to decide the services required for their parcels.

ShipGenius's service is complete upon the successful generation and delivery of a valid shipping label to the User's account. ShipGenius does not guarantee, and is not responsible for, whether the User or any third party subsequently presents the label to a Carrier for use. Non-use of a purchased label does not constitute non-delivery of ShipGenius services.

The User is solely responsible for the proper use and physical presentation of any label generated through ShipGenius, whether used by the User directly or provided to a third party for use. ShipGenius is not responsible for a label that is not successfully scanned or accepted by a Carrier due to user error, third-party non-use, or failure to present the label to the correct Carrier location.

Data Sharing with Carrier Partners

In order to generate a shipping label, ShipGenius transmits shipment-related information directly to the applicable Carrier. This information includes, but is not limited to: sender name, sender address, recipient name, recipient address, package dimensions, weight, declared value, and any customs or commodity information required for the shipment. By submitting a shipment through ShipGenius, you acknowledge and consent to this information being shared with the selected Carrier and any intermediary systems required to process the label.

ShipGenius is not responsible for how Carrier partners store, process, or protect data received in connection with a shipment. Each Carrier operates under its own privacy policy and data handling practices. ShipGenius makes no representations or warranties regarding the data security practices of any Carrier. In the event of a data breach or unauthorized disclosure by a Carrier, ShipGenius bears no liability for any resulting damages, losses, or claims arising from the Carrier's handling of that information.

If you are submitting shipment information on behalf of a third party, including customers, clients, or recipients, it is your sole responsibility to ensure that those individuals have been informed that their personal information will be transmitted to the applicable Carrier as part of the shipping process, and that you have any necessary authorization to provide that information.

Lost, Damaged, or Delayed Shipments

ShipGenius is not a carrier and assumes no liability for the physical handling, transportation, or delivery of any parcel. Once a label generated through ShipGenius is accepted by a Carrier, all responsibility for the shipment transfers exclusively to that Carrier. ShipGenius has no control over, and is not responsible for, any package that is lost, stolen, damaged, delayed, or misdelivered during transit.

All claims related to lost, damaged, stolen, delayed, or misdelivered packages must be filed directly with the Carrier that accepted and transported the shipment. ShipGenius will not issue refunds or credits for label purchases on the basis of a lost, damaged, delayed, or undelivered shipment. The User's sole recourse for any such claim is with the applicable Carrier under that Carrier's published claims process and policies.

ShipGenius Payments, Additional Charges, Disputes

At ShipGenius, we use a third-party payment provider. Our provider encrypts and handles all data transactions for credit cards, ach, and invoice payments. Our provider is PCI compliant and follows all posted rules and regulations regarding the handling of sensitive data.

By using ShipGenius, you agree to pay for our Services at the time of the Service and agree to let us authorize your payment method. By submitting us your payment information, you agree to allow us to facilitate this information to our payment provider to process your payment.

As a user of ShipGenius, you are responsible for providing accurate, complete, and truthful information regarding payment methods submitted through our platform. Should any amounts become due in which your payment method has been denied, returned, or refused, ShipGenius reserves the right to charge you the applicable fee and expects payment within 14 total days of the new payment. If not paid after those 14 days, the charge will begin to accrue interest at 1.5% per week.

ShipGenius reserves the right to pass on any adjustments or additional fees charge by the carrier service up to 30 total days after we have received an adjustment for a label you created. These adjustments can be for these reasons. (A). Failure to provide accurate dimensional information including weight, length, width, height. (B). An inaccurate declared package value. (C). Deliveries on weekends, holidays. (D). Local customs charges and import taxes or duties. (E). Any other additional surcharge facilitated by a Carrier Service. In the event of an adjustment, we will attempt to charge the payment method used to pay for the original label. Please refer to the paragraph above for information on how these charges are handled.

Voiding a label in ShipGenius is the process of requesting cancellation of a purchased shipping label through the applicable Carrier. When a void request is approved by the Carrier, a full refund of the total label cost is issued with no associated fees. ShipGenius enforces a 30-day internal void window from the date of label creation. After 30 days, ShipGenius will not process void requests regardless of whether the Carrier would otherwise accept one. This window exists to prevent tracking number conflicts that may arise when Carriers reissue previously used tracking numbers. Each Carrier also enforces its own void eligibility window independently of ShipGenius's 30-day limit; if a Carrier's window expires before 30 days, the earlier deadline applies. It is the User's sole responsibility to void unused labels within the applicable window. ShipGenius is not liable for any label that the User fails to void within the 30-day period.

In addition to Carrier void windows, labels generated through ShipGenius may be subject to Carrier-imposed expiration dates, after which the label is no longer valid for use regardless of void eligibility. ShipGenius is not responsible for labels that expire due to non-use, nor is ShipGenius obligated to issue a refund for an expired label that was not voided prior to expiration. It is the User's sole responsibility to use or void any label before the applicable Carrier expiration date.

ShipGenius provides an Account Balance limit authorized per shipper account. This balance is your allowed amount to accrue before we invoice you. These balances will be invoiced on a weekly schedule if the limit is not reached in the invoicing period.

ShipGenius reserves the right change our billing structure, prices, promotions, at any given time without notice. Any changes will be sent out in a communication email and posted on the homepage of ShipGenius.

In the event that a User initiates a chargeback or payment dispute with their financial institution for a transaction processed through ShipGenius, the User acknowledges that ShipGenius will submit all available records - including clickwrap acceptance logs, label generation records, label status data, and Carrier confirmation - as evidence that service was rendered. A label that is successfully generated, delivered to the User's account, and not voided within the Carrier's applicable window constitutes full delivery of ShipGenius services. ShipGenius reserves the right to recover any fees charged by our payment processor as a result of a chargeback filed by the User, including dispute processing fees, regardless of the outcome.

Filing a chargeback for a transaction in which ShipGenius can demonstrate that a label was successfully generated and delivered to the User's account constitutes a material breach of these Terms. In such cases, the User shall be liable for all fees, costs, and expenses incurred by ShipGenius in connection with the dispute, including but not limited to payment processor fees and administrative costs. ShipGenius reserves the right to terminate any Account found to be in material breach of this provision.

Subscription and Prepaid Credits

ShipGenius offers an OMS (Order Management System) subscription available to eligible Business Accounts. Upon initiating a subscription, you will receive a 7-day free trial. If you do not cancel your subscription before the trial period ends, your autopay method on file will be automatically charged the applicable OMS subscrition fee on the first day following the trial's expiration. By starting a trial, you acknowledge and agree that failure to cancel before day 7 constitues authorization for ShipGenius to charge your autopay method. All charges assessed after the trail period ends are non-refundable.

Prepaid credits are required to use ShipGenius shipping services in Plus and OMS account tiers. Credits are deducted from your account balance at the time of label purchase. If a label purchase would cause your account balance to go negative, the transaction will be blocked and the label will not be generated. It is your sole responsibility to maintain sufficient credit balance to cover your shipping activity. ShipGenius is not liable for any interruption to your operations resulting from an insufficent account balance.

Invoice balance limits may be granted to eligible accounts at the sole discretion of ShipGenius. An invoice balance limit allows an account to accrue charges up to a specified threshold before an autopay charge is initiated, or until the weekly invoicing cycle occurs, whichever comes first. Balance limits are reviewed and set manually by ShipGenius staff and are typically reserved for higher volume shippers. To request a balance limit, contact info@shipgeni.us. ShipGenius reserves the right to modify or revoke any balance limit at any time without prior notice.

Fraud Prevention and Prohibited Shipping Practices

ShipGenius maintains a zero-tolerance policy regarding fraudulent activity. We utilize advanced risk assessment monitoring to detect patterns indicative of fraud, including but not limited to: Triangulation Fraud, Reshipping Schemes, Carding, and the use of stolen identity or financial information.

You explicitly agree that you will not use the Services to ship goods obtained via fraudulent means. You further agree that you will not utilize return addresses (Send From) that are not associated with you or your business, including but not limited to: vacant properties, homes currently listed for real estate sale, or businesses where you have no authorization to operate.

In the event that ShipGenius detects suspicious or fraudulent activity on your Account:

  • (A) We reserve the right to immediately void any active shipping labels with the Carrier without prior notice.

  • (B) We reserve the right to withhold any refunds or account balances for a period of up to 180 days to cover potential chargebacks, disputes, or fines levied by payment processors or Carriers.

  • (C) You are liable for all costs associated with fraudulent activity, including the full value of the label, payment dispute fees (e.g., chargeback fees), and administrative costs.

  • (D) You consent to ShipGenius sharing your account details, transaction history, and device fingerprint data with payment processors, financial institutions, and law enforcement agencies to prevent further fraud.

Account Security and Responsibility

You are responsible for maintaining the confidentiality of your Account login information and password. You agree to accept responsibility for all activities that occur under your Account or password. ShipGenius is not liable for any loss or damage arising from your failure to safeguard your account credentials. If you suspect unauthorized use of your account, you must notify us immediately.

Class Action Waiver

You and ShipGenius agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. By using our Services, you waive your right to participate in any class action lawsuit or class-wide arbitration against ShipGenius LLC.

International Shipping and Customs

For all international shipments, you (the User) act as the "Exporter of Record." You are solely responsible for complying with all export and import laws of the United States and the destination country. You are responsible for the accuracy of all customs documentation, including commercial invoices and harmonized tariff codes. ShipGenius is not liable for shipments seized, delayed, or returned by Customs authorities, nor for any duties or taxes left unpaid by the recipient.

Severability

If any provision of these Terms is found to be unenforceable or invalid under any applicable law, such unenforceability or invalidity shall not render these Terms unenforceable or invalid as a whole. Instead, such provision shall be modified and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

Limitation of Liability

To the fullest extent permitted by law, ShipGenius LLC and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. ShipGenius is not liable for any damage, loss, or expense caused by errors in Carrier rates, service disruptions, misdeliveries, or the use or inability to use our Services. Your sole remedy for dissatisfaction is to stop using our Services.

Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranty of any kind. ShipGenius makes no guarantees that the Services will always be available, error-free, secure, or free of viruses or other harmful components. We do not guarantee the accuracy of rates or delivery times provided by Carriers and disclaim all warranties related to Carrier-provided services.

Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the State of Utah, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Davis County, Utah.

Right to Terminate / Suspended Accounts

We reserve the right to terminate or suspend any Account, with or without cause, at any time. This includes but is not limited to abuse, fraudulent use, violation of these Terms, or excessive chargebacks or disputes.

Indemnification Clause

You agree to defend, indemnify, and hold harmless ShipGenius LLC and its affiliates, directors, officers, and employees from and against any claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including attorney's fees) resulting from your use of the Services or violation of these Terms.

Modification to Terms

ShipGenius reserves the right to update these Terms at any time. Any changes will be posted on our website. Continued use of the Services after any updates constitutes your acceptance of the new Terms.

User Data Responsibility

You are solely responsible for the accuracy and legality of the data you submit, including shipment details, addresses, and product declarations. ShipGenius is not liable for any penalties, fines, or losses due to incorrect or fraudulent data submitted through our platform.

Proprietary Information

Our Websites, Services, and the software we use are proprietary and confidential. Our API is developed for the purposes of our Services.

By using our Services, you agree that you will not copy, duplicate, sell, or exploit our services in any way unless given explicit written consent by the ownership group of ShipGenius. Programmatic uses of our API not intended for the end goal of generating labels is prohibited.

With respect to any use of Sites or Content, and any derivative use of Sites or Content, any uses of data mining, web extraction, web scraping, robots, artificial intelligence scraping or similar data gathering and extraction tools are strictly prohibited. Any Web Scraping may result in immediate suspension or termination of your access to the Services, the Content or your Account.
